1. Acceptance of Terms

By accessing or using the SurveyTier platform and website at surveytier.com (the "Service"), operated by SurveyTier ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Account Terms

  • You must provide accurate, complete, and current information when creating your account.
  • You are responsible for maintaining the security of your account credentials. You must not share your login information with unauthorized third parties.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years old to use the Service.
  • If you are a firm owner, you may invite team members to your organization. You are responsible for ensuring that all members comply with these Terms.

3. Subscription and Billing

  • SurveyTier is offered as a subscription service. Pricing details and plan features are available on our pricing page.
  • New accounts may include a free trial period. At the end of the trial, your account will require an active paid subscription to continue creating new surveys.
  • Subscriptions are billed in advance on a monthly or annual basis depending on the plan you select. All fees are non-refundable except as expressly stated herein or required by applicable law.
  • We reserve the right to change our pricing with 30 days advance notice. Price changes will take effect at the start of your next billing cycle.
  • If payment fails, we will attempt to collect the outstanding amount for up to 14 days. If payment remains unsuccessful, your account may be downgraded or suspended.

4. Use of the Service

The Service is designed to assist marine surveyors in creating professional inspection reports. You retain full responsibility for the accuracy, completeness, and professional quality of all survey reports generated through the Service.

AI-generated content, including text expansions, executive summaries, photo analysis, and captions, is provided as a draft aid only. You must review, edit, and approve all AI-generated content before publishing. SurveyTier does not guarantee the accuracy of AI-generated content and is not liable for errors in published reports.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Upload or transmit viruses, malware, or other harmful code.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems and networks.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to generate fraudulent, misleading, or deliberately inaccurate survey reports.
  • Resell, sublicense, or redistribute access to the Service without our prior written consent.
  • Scrape, data-mine, or use automated means to extract data from the Service beyond its intended functionality.
  • Interfere with or disrupt the integrity or performance of the Service.

6. Your Content and Data

You retain all ownership rights to the content you create and upload through the Service, including survey data, photographs, voice recordings, and generated reports ("Your Content").

By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit Your Content solely as necessary to provide and improve the Service. This includes processing your voice recordings through third-party transcription services and your text through AI services for the purpose of generating report content.

We may use aggregated, de-identified data derived from Your Content to improve our AI models and the Service. Such data will not be attributable to you or your clients.

7. Intellectual Property

The Service, including its design, code, features, documentation, and branding, is owned by SurveyTier and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or brand elements without prior written consent.

Report templates provided through the Service are licensed, not sold. You may use them to generate reports for your professional practice but may not redistribute or resell the templates themselves.

8. Limitation of Liability

To the maximum extent permitted by applicable law, SurveyTier and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service.

Our total aggregate liability for all claims related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

SurveyTier is a report-generation tool. We are not a marine surveying firm and do not provide marine survey services. We make no guarantees about the professional suitability of reports generated through the Service. You bear sole professional responsibility for the content and conclusions in your published reports.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

10. Indemnification

You agree to indemnify, defend, and hold harmless SurveyTier and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising from your use of the Service, your violation of these Terms, or the content of any survey reports you create and publish.

11. Termination

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. After cancellation, your data will remain accessible in a read-only state for 90 days, after which it will be scheduled for permanent deletion.

We may suspend or terminate your access to the Service at any time if you violate these Terms, if required by law, or if we discontinue the Service. In the event of termination for cause, no refund will be provided. If we discontinue the Service entirely, we will provide at least 90 days advance notice and offer a data export.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
